Terms of Service

1. Agreement to Terms

By downloading, accessing, or using the Stacks mobile application, website, or related services (collectively, the "Service"), you agree to these Terms of Service ("Terms").

If you do not agree, do not use the Service.

2. Overview of the Service

Stacks connects businesses/brands ("Businesses") with creators ("Creators") who produce user-generated content (UGC) for marketing campaigns.

Stacks provides matchmaking, campaign management tools, analytics, messaging, referral programs, and payout facilitation via third-party payment processors.

3. Eligibility

• You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account.
• By using Stacks, you confirm you have the authority to enter into this agreement.
• Businesses must be duly registered entities or authorized representatives.

4. Account Registration & Security

• You are responsible for keeping your account credentials confidential and for all activity under your account.
• You agree to provide accurate, current, and complete information during registration and maintain it thereafter.
• Stacks may suspend or terminate accounts for suspected fraud, unauthorized use, or violations of these Terms.

5. Creator Campaign Participation

• Joining a campaign constitutes a direct arrangement between the Creator and the Business.
• Creators are responsible for fulfilling campaign requirements as agreed with the Business.
• Stacks does not guarantee any particular volume of campaigns, payments, or success.

6. Business Campaign Management

• Businesses are solely responsible for the accuracy of campaign briefs, compensation details, and any materials provided to Creators.
• Businesses must comply with all applicable advertising, data privacy, and consumer protection laws (including FTC endorsement guidelines).

7. Payments & Payouts

• Payments between Businesses and Creators are processed through third-party providers such as Stripe.
• Stacks does not hold funds and is not liable for payment delays or disputes between parties.
• Service fees, if applicable, are disclosed at the time of campaign creation or payout request.
• All users are responsible for reporting and paying any taxes associated with earnings or expenses.

8. User Conduct

You agree not to:

• Post or share unlawful, harmful, defamatory, infringing, or obscene content.
• Engage in fraud, spam, harassment, or unauthorized data collection.
• Circumvent Stacks systems, security features, or payment flows.
• Impersonate another person or misrepresent your affiliation.

9. Content Ownership & Licensing

• Creators retain ownership of their original UGC unless otherwise agreed in writing with the Business.
• By uploading content to Stacks, you grant Stacks a limited license to host, display, and distribute it solely for operating the Service.
• Businesses may use Creator content as agreed in campaign briefs, subject to applicable laws and intellectual-property rights.

10. Intellectual Property

• All intellectual-property rights in the Service (excluding user content) remain owned by Stacks Studio Holdings LLC.
• You may not copy, modify, distribute, or reverse-engineer any part of the Service without our prior written consent.

11. Disclaimers

• Stacks provides the Service "as-is" and "as available," without warranties of any kind, express or implied.
• We do not guarantee uninterrupted or error-free operation, or that campaigns will yield specific outcomes or revenue.

12. Limitation of Liability

To the maximum extent permitted by law:

• Stacks Studio Holdings LLC, its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, consequential, punitive, or exemplary damages, including loss of profits, revenue, goodwill, data, or other intangible losses.
• Our total aggregate liability for any claims related to the Service shall not exceed the greater of (a) $100 or (b) the amount paid by you to Stacks in the 6 months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Stacks Studio Holdings LLC and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your access to or use of the Service
• Your violation of these Terms or applicable law
• Your interactions, agreements, or disputes with other users (Businesses or Creators)
• Any content you provide or actions you take while using Stacks

14. Termination

• We may suspend or terminate accounts at our discretion for violations of these Terms or misuse of the Service.
• You may terminate your account at any time through your profile settings.
• Termination does not relieve you of outstanding obligations (e.g., unpaid amounts, ongoing campaigns).

15. Governing Law & Dispute Resolution

• These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict-of-law principles.
• Any disputes will be resolved by binding arbitration administered by AAA in Newark, New Jersey, except where prohibited by law.
• You waive the right to participate in class actions or jury trials.

16. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or in-app notifications. Continued use of the Service after updates constitutes acceptance.
